Paid Service Agreement

Welcome to the Rabbix Paid Service. Please carefully read, understand, and comply with the following agreement.

Special Reminders

1. Before using the Rabbix Paid Service (hereinafter referred to as "this Service"), you (hereinafter referred to as the "User") must register as a Rabbix user in accordance with the Rabbix User Service Agreement and the Rabbix Privacy Policy.

2. Before you begin reading, decide whether to accept the Rabbix Paid Service Agreement (hereinafter referred to as "this Agreement"), and pay to activate the Rabbix Paid Service, we specifically remind you to carefully read and pay close attention to the bolded content in this Agreement. Minor users under the age of 18 must carefully read this Agreement and decide whether to accept it while accompanied by a guardian, and shall purchase and use the Rabbix Paid Service under the guidance and supervision of their guardian. This Agreement is an indivisible part of the Rabbix User Service Agreement and the Rabbix Privacy Policy and has equal legal effect. In the event of any conflict between this Agreement and the aforementioned agreements, this Agreement shall prevail. For matters not mentioned herein, the aforementioned agreements shall apply.

3. The Rabbix Paid Service (hereinafter referred to as "this Service" or "Paid Service") is provided to you by (hereinafter referred to as the "Company" or "we"). This Rabbix Paid Service Agreement is entered into between you and the Company regarding matters related to your use of the Rabbix Paid Service.

4. Please be sure to carefully read and fully understand the terms of this Agreement. Important content, especially clauses exempting or limiting liability, will be highlighted in bold to prompt your attention, and you should read them thoroughly. By obtaining and using the Rabbix Paid Service in any form, you are deemed to have read and agreed to be bound by this Agreement. If you do not agree with this Agreement or any of its terms, please immediately stop purchasing, activating, or using the Paid Service. Any usage behavior (including but not limited to paying, activating, purchasing, or using the Paid Service, collectively referred to as "Use" hereafter) indicates that you have fully read, understood, and voluntarily accepted all contents of this Agreement.

5. If you are a user located outside of Mainland China, your conclusion or performance of this Agreement must also comply with the laws of the country or region to which you belong and/or in which you are located.

6. If you have any questions about this Agreement or this Service, cannot accept this Agreement in whole or in part, or need to provide feedback (including suggestions, complaints, reports, etc.) during use, you may contact us via the following methods:

Article I: Definitions and Interpretations

1. "Rabbix" / "Platform": Refers to the client application legally owned and operated by the Company under the name "Rabbix." The Company reserves the right to adjust the specific Rabbix versions provided to you at any time based on business development and arrangements. The actual version you use shall prevail.

2. Partner Program: Refers to the user growth and companion program initiated by Rabbix. Users participating in this program can enjoy exclusive benefits before the official membership launch and will receive complementary membership duration once the membership is officially launched.

3. Rabbix Paid Service Rules: Refers to agreements, announcements, page descriptions, notices, FAQs, promotional activities, etc., related to the Rabbix Paid Service that have been or will be published by Rabbix from time to time. The aforementioned content takes effect immediately upon publication and constitutes an indivisible part of this Agreement.

4. Rabbix may update this Agreement at any time based on its own judgment of commercial, legal, and policy factors. Without your explicit consent, we will not diminish the legal rights you are entitled to under this Agreement.

Article II: Partner Program Description and Rules

2.1 User Benefits

Upon joining the Partner Program, you will receive certain benefits, such as: acquiring exclusive badges, unlimited use of paid features prior to the official membership launch, and receiving a specific duration of membership benefits after the official membership launch. For details, please refer to the Partner Program Rules.

2.2 Usage Rules

1. You may activate the corresponding service and obtain the corresponding user benefits after completing the operational steps on the actual product purchase page and confirming the successful payment of the service fee. Please note that the validity period and the scope of the user benefits you receive are subject to the public notice on the page at the time of your purchase.

2. Please understand that we will limit the maximum number of terminals a single paid user account can log into, as well as the number of terminals a single paid user account can keep online simultaneously. If you exceed the aforementioned limits, the Company reserves the right to take measures against you, such as restricting logins, restricting usage, or suspending/terminating services, depending on the severity of your excessive usage.

3. The relevant benefits of the Partner Program will expire upon the official launch of the membership, at which time you will transition to enjoying the corresponding membership benefits.

Article III: Activation and Termination

1. By agreeing to this Agreement and paying the Paid Service fee, you will obtain the corresponding benefits of the Partner Program.

2. When activating the Partner Program, you must carefully verify your account information, service duration, fees, and other details.

3. You must use the official recharge methods designated by Rabbix to make payments (the supported payment methods may vary depending on the terminal and system; please complete the payment according to the instructions on the payment page). If you use a payment method not designated by Rabbix or an illegal method to pay, the Company does not guarantee that the payment will be completed smoothly or correctly, and it may trigger other risks. If your rights or those of any third party are damaged as a result, you shall handle it yourself and bear the corresponding responsibilities. The Company will not provide any compensation or indemnification, and the Company reserves the right to suspend some or all of your permissions, freeze your recharge balance, temporarily or permanently ban your account, and/or prohibit your use of various Paid Services at any time.

4. If a paid user does not utilize their Rabbix paid benefits, it shall not be deemed a waiver of the corresponding rights. However, if a paid user violates any of Rabbix's management regulations or if the account exhibits abnormal activities, Rabbix has the right to restrict or freeze the corresponding paid user account according to its management regulations. In such cases, account functionality and paid benefits will be restricted.

Article IV: Paid Service Fees

1. Rabbix reserves the right to autonomously price the Paid Services provided. Different payment models apply to various Rabbix Paid Services. Please carefully read this Agreement and the relevant usage rules for the specific Paid Service you intend to purchase on the front-end product payment page. Rabbix may adjust payment models based on marketing strategies and specific product conditions; the actual payment models and rule descriptions displayed in the front-end product functions shall prevail. Before purchasing a Paid Service, you should carefully verify the application name, purchased service content, price, service duration, and other information. You acknowledge and agree that Paid Services operate on a "pay-before-service" basis. The service fee you pay is the price for the network technical service corresponding to the Paid Service you purchase. Once purchased, Paid Services are non-transferable and non-refundable (except in cases where platform fault causes a material defect in the Paid Service, making it completely impossible for you to use it). If you request a refund of the service fee or demand compensation/indemnification due to personal reasons, such as failing to carefully verify information or improper operation, the platform will not refund the paid service fee nor provide any form of compensation/indemnification.

2. Based on market and business development, operational needs, and benefit adjustments, the pricing schemes of various Paid Services or the specific benefits, payment models, validity periods, and complimentary benefits (if any) included under the services may be adjusted from time to time. Pricing scheme adjustments will take effect from the date of publication. Your corresponding usage rights for Paid Services purchased before such adjustments take effect will not be affected; however, if you need to make another purchase after using up the corresponding benefits, the pricing scheme in effect after the adjustment shall apply. The Company will strive to protect your rights, and you understand and agree to purchase the corresponding services according to the latest published pricing scheme.

3. If you do not agree with modifications made by Rabbix to the terms of this Agreement, you have the right to stop using the Rabbix Paid Service, and Rabbix will refund the fees corresponding to the paid period you have paid for but not yet enjoyed within 7 days. If you continue to use the service, it is deemed that you accept the modifications made by Rabbix to the relevant terms of this Agreement.

Article V: Paid User Account Management

1. Paid users shall comply with Rabbix's rules, including but not limited to this Agreement, the Rabbix User Service Agreement, the Rabbix Privacy Policy, and various notices and announcements related to Rabbix users and Paid users published by Rabbix from time to time.

2. If you obtain Paid Service eligibility via redemption codes or gifts, Rabbix reserves the right, according to its management regulations, to invalidate improperly gifted or illegally provided redemption codes and cancel your Paid Service eligibility. We are not obligated to provide you with any compensation for this. If a third party gifts you Paid Service eligibility (e.g., related to a third-party promotional activity), Rabbix is not responsible for any third-party products/services or marketing/promotional schemes provided by that third party.

3. Rabbix bears no responsibility for the leakage of paid user account passwords or damage to paid user benefits caused by reasons not attributable to Rabbix. If a paid user discovers their account has been stolen, they should promptly change their password or recover the account through management procedures. To prevent risks arising from stolen accounts, Rabbix also has the right to proactively restrict or freeze abnormal accounts, and suspend or terminate the provision of Paid Service benefits to abnormal accounts.

4. Paid users shall not obtain Paid Service eligibility through unfair means; shall not lend, rent, sell, or otherwise provide paid accounts to third parties in any form; shall not share or sell their Paid Service benefits to third parties in any form; shall not abuse Paid Service benefits; and shall not use Paid Service eligibility to obtain improper profits. If a user engages in misconduct (including but not limited to the examples listed below), violates management regulations, or harms the interests of Rabbix or other Rabbix users in any form, Rabbix has the right to suspend or cancel the user's Paid Service eligibility without refunding the fees collected. Furthermore, violating users must bear all resulting responsibilities and consequences. If losses are caused to the Company, the Company reserves the right to claim compensation from you:

   • (1) Obtaining Paid Services through theft, exploiting system vulnerabilities (including but not limited to bots, spiders, crawlers, screen-refreshing software, etc.), or through any non-official or unauthorized channels, means, or methods (including but not limited to purchasing, renting, borrowing, sharing, or receiving transfers), or maliciously exploiting/sabotaging platform-related activities to obtain Paid Services;
   • (2) Obtaining Paid Services for purposes exceeding the scope agreed upon in this Agreement, utilizing Paid Services for profit or illegal gain, transferring or assigning the Paid Services or paid benefits you enjoy in various forms, or lending Paid Services/paid benefits to others;
   • (3) Modifying the service period, consumption amount, or transaction status of the developer account's Paid Services through illegal means, or using purchased Paid Services illegally or for illegal purposes;
   • (4) Proactively cracking, altering, reverse-engineering, destroying, or otherwise tampering with any security measures or technology used by the Company to protect paid benefits, or assisting others in such behaviors;
   • (5) Failing to comply with activity rules when participating in platform-related activities, and obtaining relevant benefits by exploiting system vulnerabilities, rule defects, system setting errors, abusing developer user identities, etc.;
   • (6) Using the benefits obtained via Paid Services for purposes other than personal or institutional consumption/use;
   • (7) Other behaviors violating laws, regulations, the principle of good faith, this Agreement, and other institutional norms published by the platform from time to time.

5. Disputes arising from reasons attributable to the user themselves have no relation to Rabbix, and the user shall bear the corresponding responsibilities independently. If such disputes damage Rabbix's legitimate rights and interests, Rabbix has the right to cancel the user's Paid Service eligibility without refunding collected fees. Concurrently, Rabbix reserves the right to safeguard its own rights and interests through legal means.

Article VI: Agreement Modification

Due to the development of the Internet, changes in relevant laws, regulations, and normative documents, or due to Rabbix's business development needs, Rabbix has the right to modify or change the terms of this Agreement. Once the content of this Agreement changes, Rabbix will choose to notify you via methods including but not limited to system prompts, announcements, etc., based on the actual situation.

Article VII: Disclaimer

1. You shall understand rationally and use artificial intelligence technology legally. You must not violate this Agreement and platform rules, nor violate laws and regulations such as the Interim Measures for the Management of Generative Artificial Intelligence Services and the Provisions on the Administration of Deep Synthesis of Internet Information Services. Any judgments you make based on output content or subsequent operations taken accordingly, and the resulting consequences and responsibilities (including but not limited to risks arising from your judgment regarding the authenticity, accuracy, reliability, and non-infringement of the output content), shall be entirely borne by you.

2. You understand and agree that the Rabbix products and services we provide are provided on an "as is" basis based on currently available technology and conditions. We make no express or implied guarantees regarding the following situations:

   • 2.1 Rabbix products and services will completely meet your usage requirements or fit specific purposes, or that any products, services, or other information obtained through us will meet your expectations;
   • 2.2 Rabbix products and services will be uninterrupted, timely, secure, reliable, completely error-free, or permanently available;
   • 2.3 Any errors in Rabbix products and services will be corrected;
   • 2.4 You will not face any risks while using Rabbix products and services.

3. Please understand that payment actions you make through various payment channels to purchase Paid Services may carry certain risks (including but not limited to criminals stealing user accounts or bank information for illegal activities, or criminals committing fraud to induce users to pay). Such risks may cause you economic losses. For the aforementioned risks, the Company cannot control them and has no legal obligation to pursue criminals or compensate you for losses on their behalf. The Company will provide assistance within the scope permitted by laws and regulations to minimize your losses, but the Company's provision of any assistance shall not serve as evidence or grounds that the Company should bear legal liability.

4. Please understand that the Company cannot foresee and prevent technical and other risks at all times or constantly, including but not limited to service interruptions and losses of user personal data caused by force majeure, government actions, network reasons, system/equipment failures (including but not limited to server downtime/crashes, system instability/failures, database failures, etc.), power failures, third-party service defects, hacker attacks, computer viruses/Trojans/malicious programs, and other circumstances beyond its control or reasonable foresight. The Company shall not be liable for any losses, damages, or refunds of any fees paid by you as a result, but the Company will endeavor to issue advance notices and strive to take measures to reduce your losses and safeguard your rights.

5. You understand and agree that if the Paid Services or related benefits you purchased are abnormally interrupted or unavailable due to the Company's fault, the Company will take measures to restore your rights as soon as possible and provide compensation based on the actual situation (e.g., extending the corresponding validity period, gifting some free trial benefits, subject to actual provision). The Company will strive to protect your rights.

6. Please understand that the Company may determine whether to continue providing you with existing Paid Services and related user benefits, or modify/adjust them, based on multiple factors such as operational planning, market environment, operational effects, and policy changes. The Paid Services and related user benefits you actually use shall be subject to what is actually available to you at that time. The Company will strive to ensure your rights.

7. The Company shall not be responsible for any losses or liabilities arising from the Company's inability to provide Paid Services or any errors during the provision of Paid Services caused by your own reasons. You shall be solely responsible for such cases, including but not limited to:

   • 7.1 Your account becoming invalid, lost, or banned;
   • 7.2 Losses or liabilities caused by the third-party payment institutions or bank accounts you have bound, including your use of unverified accounts or accounts not belonging to you, or your account being frozen or seized;
   • 7.3 Property losses caused by you disclosing your password to others;
   • 7.4 Property losses caused by your intentional acts or gross negligence.

8. If the payment process involves related services provided by a third party, in addition to complying with this Agreement, you must also agree to and comply with the agreements and relevant rules of that third party. Under no circumstances shall the Company bear any responsibility to you or the third party for disputes arising from the third party and the relevant services it provides, and you shall resolve such disputes directly with the third party.

Article VIII: Miscellaneous

1. The establishment, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision of this Agreement is invalid due to conflict with the laws of the People's Republic of China, these terms shall be reinterpreted and applied in accordance with the principle of being as close as possible to the purpose of the original terms of this Agreement without violating the law, and the other provisions of this Agreement shall still have full force and effect.

2. If Rabbix is unable to normally provide paid user benefits due to force majeure or other reasons beyond Rabbix's control, Rabbix will promptly issue notices and reasonably handle the aftermath to minimize the losses of paid users.

3. The headings in this Agreement are for convenience of reading only and do not affect the meaning or interpretation of any provision in this Agreement.

4. You and the Company are independent entities. Under no circumstances does this Agreement constitute any form of express or implied guarantee or condition from the Company to you, nor does it constitute an agency, partnership, joint venture, or employment relationship between the parties.

5. If any term of this Agreement becomes partially invalid or unenforceable for any reason, the remaining terms shall remain valid and binding on both parties.
